1. Agreement to Terms

By accessing or using the Aiistic website (https://aiistic.com) and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Services Description

Aiistic provides AI consultancy and development services, including but not limited to:

  • RAG (Retrieval-Augmented Generation) systems development
  • LLM (Large Language Model) fine-tuning and customization
  • AI agents and automation development
  • Prompt engineering services
  • Model selection and architecture consulting
  • AI production deployment and MLOps
  • Edge AI and embedded systems integration

Specific service terms, deliverables, timelines, and pricing will be outlined in separate written agreements or statements of work.

3. Use License

Permission is granted to temporarily access the materials on Aiistic's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

4. Intellectual Property Rights

4.1 Our Content

All content on this website, including text, graphics, logos, images, and software, is the property of Aiistic or its content suppliers and is protected by international copyright laws.

4.2 Client Work Product

Unless otherwise agreed in writing, all work product, code, and deliverables created specifically for a client under a service agreement will be the property of the client upon full payment. Aiistic retains the right to use generalized knowledge, techniques, and experience gained during the engagement.

4.3 Pre-existing Materials

Aiistic retains all rights to pre-existing materials, frameworks, tools, and methodologies used in the delivery of services.

5. Service Agreements

Specific engagements will be governed by separate written agreements that may include:

  • Scope of work and deliverables
  • Timeline and milestones
  • Fees and payment terms
  • Intellectual property ownership
  • Confidentiality provisions
  • Warranties and limitations of liability

In the event of conflict between these Terms of Service and a specific service agreement, the service agreement will prevail.

6. Confidentiality

We respect the confidentiality of our clients' information. Any confidential information shared with us will be protected and not disclosed to third parties, except as required by law or as necessary to provide our services. Specific confidentiality terms will be outlined in individual service agreements or Non-Disclosure Agreements (NDAs).

7. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement of intellectual property rights
  • Uninterrupted or error-free service

We do not warrant that the website will be available at all times or that the information on the website is complete, accurate, or current.

8. Limitation of Liability

In no event shall Aiistic's total liability exceed the amount paid by you for the specific service giving rise to the claim, or $100 if no payment has been made.

10. Third-Party Services and AI Models

Our services may involve the use of third-party AI platforms, APIs, and tools (such as OpenAI, Anthropic, Google, Meta, etc.). Use of these services is subject to their respective terms of service and privacy policies. We are not responsible for:

  • The availability, reliability, or performance of third-party services
  • Changes to third-party pricing, terms, or service offerings
  • Outputs or results generated by third-party AI models
  • Third-party data handling practices

Clients are responsible for compliance with all third-party terms of service for any platforms they choose to use.

11. AI-Specific Disclaimers

11.1 AI Model Performance

AI and machine learning models are probabilistic in nature. We cannot guarantee specific accuracy levels, outputs, or results. Model performance may vary based on use case, data quality, and other factors.

11.2 Hallucinations and Errors

AI language models may generate incorrect, misleading, or fabricated information ("hallucinations"). Clients are responsible for validating and verifying all AI-generated outputs before use in production environments.

11.3 Data and Training

Clients are responsible for ensuring they have proper rights to use any data provided for training, fine-tuning, or testing AI models. Aiistic is not responsible for copyright, licensing, or privacy violations arising from client-provided data.

12. Payment Terms

Payment terms will be specified in individual service agreements. General terms include:

  • Payment is due according to the schedule outlined in the service agreement
  • Late payments may incur interest charges
  • Failure to pay may result in suspension of services
  • All fees are non-refundable unless otherwise stated in writing

13. Force Majeure

Aiistic shall not be liable for any failure or delay in performing its obligations under these Terms or any service agreement where such failure or delay results from events beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, pandemics, or epidemics
  • War, terrorism, civil unrest, or government actions
  • Third-party service outages (including AI API providers, cloud infrastructure, or internet service providers)
  • Power failures, telecommunications failures, or cyber attacks
  • Labor disputes, strikes, or lockouts

We will notify you as soon as reasonably practicable and will use reasonable efforts to mitigate the impact and resume performance.

14. Termination

We reserve the right to terminate or suspend access to our website and services immediately, without prior notice, for any reason, including violation of these Terms of Service. Specific termination terms for service engagements will be outlined in individual service agreements.

15. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of competent jurisdiction in the State of Delaware.

16. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by updating the "Last updated" date. Your continued use of the website after changes constitutes acceptance of the modified terms.

17. Severability

If any provision of these Terms of Service is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
